Item 8.01. Other Events.
On January 17, 2014, Jos. A. Bank Clothiers, Inc. (“Jos. A. Bank”) issued a press release announcing that its Board of Directors rejected the unsolicited tender offer made by The Men’s Wearhouse, Inc. (“Men’s Wearhouse”) and recommended that Jos. A. Bank’s stockholders not tender their shares into Men’s Wearhouse’s offer. The press release is attached as Exhibit 99.1 and incorporated herein by reference.
