In its earnings release issued on February 20, 2015, the Company included in its 2015 guidance that it expected the Company would have approximately 102.0 million total weighted-average shares outstanding in 2015, after issuing approximately 15.3 million shares for the Covance transaction. After further review, the Company believes that after issuing approximately 15.3 million shares for the Covance transaction, it had approximately 100.3 million total shares outstanding as of February 20, 2015, and that the weighted-average diluted shares for the full year will be approximately 100.0 million.
