Confirmation of the completeness and adequacy of the disclosures in the Form 10-Q and the independent public accountants' required review have required additional time due to recent developments relating to Broad Vision's previously announced plan to merge with a wholly-owned subsidiary of Vector Capital Corporation.

| | BroadVision currently believes that its revenue for the third quarter of fiscal 2005 will be approximately $14.1 million, and its net loss per share will be approximately $(0.42). BroadVision's revenues for the third quarter of fiscal 2004 were $17.2 million, and its net loss per share was $(0.69). The Company recorded a non-cash charge for the impairment of goodwill of apprxomately $13.2 million in the quarter ended September 30, 2005. |
