Explanation of Responses:

1. On March 24, 2022, 50,000 shares were transferred from the reporting person to the Sidney Lapidus 2022 GRAT. The reporting person is the trustee and sole beneficiary of the GRAT, therefore the transaction did not result in a change in beneficial ownership.

2. Shares issued in accordance with the Issuer's outside directors' compensation program. Shares are fully vested and fifty percent (50%) of the shares are subject to a two-year minimum holding period from the date of issuance.
