Item 5.07. Submission of Matters to a Vote of Security Holders.
At Southern California Edison Company's Annual Meeting of Shareholders
on April 22, 2010, two matters were submitted to a vote of the shareholders:
the election of thirteen directors and ratification of the appointment of the
independent public accounting firm.
Shareholders elected thirteen nominees to the Board of Directors. The
number of votes cast for and withheld from, and the number of broker
non-votes as to each Director-nominee were as follows:

The proposal to ratify the appointment of the independent public
accounting firm, PricewaterhouseCoopers LLP, which received the affirmative
vote of a majority of the votes cast and the affirmative vote of at least a
