Item 1.01 Entry Into a Material Definitive Agreement.
On December 13, 2006, Liberty Property Limited Partnership (the “Partnership”) priced a public offering (the “Offering”) of $300,000,000 principal amount (the “Notes”) of its 5.50% Senior Notes due 2016. Banc of America Securities LLC, Goldman, Sachs & Co., J.P. Morgan Securities Inc., Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Morgan Stanley & Co. Incorporated, UBS Securities LLC and Wachovia Capital Markets, LLC (collectively, the “Underwriters”) acted as underwriters for the Offering. The Underwriting Agreement relating to the Offering is filed as Exhibit 1.1 to this Report. For additional information concerning the Notes, refer to the Form of Global Note and Form of Supplemental Indenture filed as Exhibits 4.1 and 4.2, respectively, to this Report.
