Item 8.01 - Other Events.
On July 21, 2006, at its regular meeting of the Board of Directors of Heritage Oaks Bancorp, the Board declared an $0.08 cents per-share dividend for all shareholders of record on August 11, 2006, payable on August 25, 2006.
In addition, on July 21, 2006, the Board of Directors adopted a resolution authorizing the repurchase of up to 40,000 shares of Company stock.
