ITEM 2.02 - RESULTS OF OPERATIONS AND FINANCIAL CONDITION
Heritage Oaks Bancorp (HEOP) issued a Press Release describing a correction to third quarter EPS as announced in its prior earnings release of October 16, 2006.

SECTION 8 - OTHER EVENTS
Item 8.01 - Other Events.
On October 20, 2006, at its regular meeting of the Board of Directors of Heritage Oaks Bancorp, the Board declared an $0.08 per-share dividend for all shareholders of record on November 3, 2006, payable on November 17, 2006.
On October 20, 2006, the Board of Directors approved the authorization to repurchase an additional 60,000 shares of Company stock to its current stock repurchase program, which now provides for a total of up to 100,000 shares.
