Item 8.01 Other Events
As previously disclosed, on August 4, 2021, Penn National Gaming, Inc. (“Penn National” or the “Company”), 1317774 B.C. Ltd., a British Columbia corporation and an indirect wholly owned subsidiary of the Company (“Purchaser”), and Score Media and Gaming Inc., a British Columbia corporation (“theScore”) entered into an Arrangement Agreement (as amended from time to time, the “Arrangement Agreement”), pursuant to which Penn National and Purchaser will acquire theScore (the “Acquisition”) on the terms and subject to the conditions set forth in the Arrangement Agreement. On August 18, 2021, notification and report forms under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”) were filed with the Federal Trade Commission and the Department of Justice with respect to the Acquisition. The applicable waiting period expired on September 17, 2021. Accordingly, the condition to the Acquisition relating to the expiration or termination of the waiting period under the HSR Act has been satisfied. The Company has also confirmed that the condition in the Arrangement Agreement relating to required gaming regulatory consents has been satisfied. The Acquisition remains subject to, among other customary conditions, receipt of requisite approvals (i) by shareholders of theScore and (ii) under the Investment Canada Act (Canada), R.S.C. 1985, c.28 (1st Supp.).
