Explanation of Responses:

1. Grant of restricted stock units under the Inspired Entertainment, Inc. 2018 Omnibus Incentive Plan. These restricted stock units were awarded as a special sign-on equity grant pursuant to a new employment agreement entered into between Mr. Weil and the issuer on October 9, 2020.

2. Each unit represents a contingent right to receive one share of common stock at settlement.

3. The units are scheduled to vest in one installment on June 30, 2021.
