On July31, 2012, BB&T Corporation announcedit had received final regulatory approval to acquireBankAtlantic, a wholly-owned subsidiary of BankAtlantic Bancorp. The announced acquisition was previously disclosed in BB&T Corporation’s Current Reports on Form 8-K filed with the Securities and Exchange Commission on November 1, 2011 and March 13, 2012. BB&T Corporation completed the acquisition on July 31, 2012. A copy of the press release announcing the events described is attached as Exhibit 99.1.
