1. Represents shares of Restricted Stock granted to the Reporting Person under the Issuer's 2016 Outside Directors Equity Compensation Plan. The restrictions will lapse as follows: on May 3, 2018 as to 33%, on May 3, 2019 as to 33%, and on May 3, 2020 as to the remaining 34%.
