On May 28, 2021, following a competitive process with multiple audit firms, the Audit Committee of the Board of Directors of Schmitt Industries, Inc. (the “Company”) engaged UHY LLP (“UHY”) as the Company’s independent registered public accounting firm for the fiscal year ending May 31, 2021.
During the fiscal years ended May 31, 2019 and May 31, 2020, and the subsequent interim period from June 1, 2020 through May 28, 2021, none of the Company, or anyone acting on behalf of the Company, has consulted with UHY regarding (i) the application of accounting principles to a specific transaction, either completed or proposed, or the type of audit opinion that might be rendered on its consolidated financial statements, and neither a written report nor oral advice was provided to it that UHY concluded was an important factor considered by it in reaching a decision as to any accounting, auditing, or financial reporting issue, (ii) any matter that was subject of a disagreement within the meaning of Item 304(a)(1)(iv) of Regulation S-K, or (iii) any “reportable event” within the meaning of Item 304(a)(1)(v) of Regulation S-K.
