On February 12, 2004, Gemstar-TV Guide International, Inc., a Delaware corporation, issued a press release announcing an agreement to settle the consolidated shareholder class action lawsuits pending in the U.S. District Court for the Central District of California. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
