Purchase Agreement No. 1810
between
THE BOEING COMPANY
and
SOUTHWEST AIRLINES CO.
Relating to Boeing Model 737-7H4 Aircraft (the Aircraft)
THIS SUPPLEMENTAL AGREEMENT, entered into as of January 18, 2011, by and between THE BOEING COMPANY, a Delaware corporation with principal offices in Seattle, Washington, (Boeing) and SOUTHWEST AIRLINES CO., a Texas corporation with principal offices in Dallas, Texas (Buyer);
WHEREAS, the parties hereto entered into Purchase Agreement No. 1810 dated January 19, 1994, relating to Boeing Model 737-8H4 aircraft (the Agreement) and;
WHEREAS, Buyer has exercised its right to substitute twenty (20) Boeing Model 737-7H4 aircraft (Aircraft) with Boeing Model 737-800 aircraft with the delivery positions identified in the table below (Substitute Aircraft) and Boeing has confirmed the availability of scheduled deliveries of Substitute Aircraft in such scheduled delivery months;

As a result of the Buyer's election to substitute twenty (20) 737-8H4 aircraft for 737-7H4 Aircraft, twenty (20) 737-7H4 delivery positions identified for such substitution by Buyer will be deleted from Table 1 of the Agreement as Block T-W-2b Aircraft and incorporated in the Agreement of Table 1 as Block T-W-3 Aircraft to the Agreement to identify the delivery positions, quantities, Price and Advance Payment Base Price for the Substitute Aircraft and upon definitive agreement, such Substitute Aircraft shall be incorporated into the Agreement as Aircraft; and

WHEREAS, the parties have agreed to incorporate a new Exhibit A.2 specific to the configuration of the Substitute Aircraft, and;
WHEREAS, the parties have agreed to incorporate a 737-800 Customer Support Document as Exhibit C.2 to reflect the customer support entitlements provided by Boeing for the Substitute Aircraft, and;
WHEREAS, the parties have agreed to incorporate a 737-800 Buyer Furnished Equipment Provisions Document as Exhibit E.2 to reflect the a delivery schedule for buyer furnished equipment required by the Substitute Aircraft, and;
WHEREAS, the parties have agreed, in addition to those matters related to the addition of the Substitute Aircraft to the Agreement, to address certain additional changes to the Agreement through this Supplemental Agreement, including:
(i) revisions to pages 3-1 and 3-2 of Article 3 of the Agreement entitled “Price of Aircraft” to reflect the Aircraft Pricing of Blocks T-W-2b, Block T-W-2c and Block T-W-3 and applicable Exhibit A-1A and Exhibit A.2 with respect to the Aircraft and the Substitute Aircraft;
(ii) the revision of Letter Agreement 6-1162-RLL-934 to update the list of Letter Agreements under the Purchase Agreement that should be treated as confidential;
(iii) the revision of Letter Agreement 6-1162-KJJ-058 to (a) conform defined terms to the Purchase Agreement, (b) incorporate language relating to the definition of an exercised Substitute Aircraft; and (c) add terms and conditions of 737-800 substitution to the 737-600 Substitute Aircraft which were previously omitted pursuant to Supplemental Agreement 13; and
(iv) removing Block T-W-2c Aircraft from Table 3, incorporating the Block T-W-2c Aircraft in Table 1 and deleting Table 3 in its entirety;
NOW THEREFORE, in consideration of the mutual covenants herein contained, the parties agree to amend the Agreement as follows:
1. The Table of Contents of the Agreement is deleted in its entirety and a new Table of Contents is attached hereto and incorporated into the Agreement by this reference;
2. Table 1 is deleted in its entirety and replaced by a new Table 1 incorporated into the Agreement by this reference to reflect (i) the deletion of twenty (20) T-W-2b Aircraft scheduled delivery positions, (ii) the incorporation of the twenty (20) Substitute Aircraft scheduled delivery positions as Block T-W-3 Aircraft; and (iii) the incorporation of Block T-W-2c Aircraft delivery positions, quantities, Price and Advance Payment Base Price;
3. Table 3 is deleted in its entirety;
4. Pages 3-1 and 3-2 to Basic Article 3 of the Agreement, entitled “Price of Aircraft”, are hereby deleted and replaced by new pages 3-1 and 3-2 to the Basic Article 3 attached hereto and incorporated into the Agreement by this reference to reflect the

additional references to Exhibit A-1A and Exhibit A.2 in subparagraph 3.1.1 entitled “Definitions” and to reflect the additional references to Block T-W-2b Aircraft, Block T-W-2c Aircraft and Block T-W-3 Aircraft in subparagraph 3.2 entitled “Aircraft Basic Price” and subparagraph 3.3 entitled “Aircraft Price”;
5. Letter Agreement No. SWA-PA-1810-LA-1003490 entitled "737-800***" is hereby incorporated into the Agreement by this reference;
6. Letter Agreement No. SWA-PA-1810-LA-1003498 entitled "737-800 Promotional Support" is hereby incorporated into the Agreement by this reference;
7. Letter Agreement No. SWA-PA-1810-LA-1003367 entitled "737-8H4 Aircraft***" related to the Substitute Aircraft is hereby incorporated into the Agreement by this reference;
8. Letter Agreement No. 6-1162-RLL-934R3 entitled “Disclosure of Confidential Information” is deleted in its entirety and replaced by a new Letter Agreement No. 6-1162- RLL-934R4, attached hereto and hereby incorporated into the Agreement by this reference;
9. Letter Agreement No. 6-1162-KJJ-058 entitled *** is deleted in its entirety and replaced by a new Letter Agreement No. 6-1162-KJJ-058R1 attached hereto and hereby incorporated into the Agreement by this reference;
10. Exhibit A.2, attached hereto, is hereby added and incorporated into the Agreement to reflect the Detail Specification document number of D019A001SWA37P-2, Rev NEW specific to the Substitute Aircraft;
11. Exhibit C.2, attached hereto, is hereby incorporated into the Agreement to reflect the customer support entitlements related to the Substitute Aircraft;
12. Exhibit E.2, attached hereto, is hereby incorporated into the Agreement to reflect the Buyer Furnished Equipment schedule related to the Substitute Aircraft.
The Agreement will be deemed to be supplemented to the extent herein provided and as so supplemented will continue in full force and effect.

ARTICLE 3. Price of Aircraft.
3.1 Definitions.
3.1.1 Special Features are the features incorporated in Exhibit A, Exhibit A-1A or Exhibit A.2, as applicable, which have been selected by Buyer.
3.1.2 Base Aircraft Price is the Aircraft Basic Price excluding the price of Special Features.
3.1.3 Aircraft Basic Price is comprised of the Base Aircraft Price and the price of the Special Features.
3.1.4 Economic Price Adjustment is the adjustment to the Aircraft Basic Price (Base Aircraft and Special Features) as calculated pursuant to Exhibit D or Exhibit D-1 as applicable.
3.1.5 Aircraft Price is the total amount Buyer is to pay for the Aircraft at the time of delivery.
3.2 Aircraft Basic Price.
The Aircraft Basic Price for Block A through L Aircraft, is expressed in July 1992 dollars; the Aircraft Basic Price for Block T Aircraft, Block T-W Aircraft, Block T-W-1 Aircraft, Block T-W-1a Aircraft, Block T-W-2 Aircraft Block T-W-2a Aircraft, Block T-W-2b, Block T-W-2c and Block T-W-3 is expressed in July 1999 dollars as set forth in Table 1 of the Agreement.
3.3 Aircraft Price. The Aircraft Price will be established at the time of delivery of such Aircraft to Buyer and will be the sum of:

3.3.3 other price adjustments made pursuant to this Agreement or other written agreements executed by Boeing and Buyer.
3.4 Advance Payment Base Price.
3.4.1 Advance Payment Base Price. For advance payment purposes, the following estimated delivery prices of the Aircraft (Advance Payment Base Price) have been established, using currently available forecasts of the escalation factors used by Boeing as of the date of signing this Agreement. The Advance Payment Base Price of each Aircraft is set forth in Table 1.
3.4.2 Adjustment of Advance Payment Base Prices – Long-Lead Aircraft. For Aircraft scheduled for delivery 36 months or more after the date of this Agreement, the Advance Payment Base Prices appearing in Table 1 will be used to determine the amount of the first advance payment to be made by Buyer on the Aircraft. No later than 25 months before the scheduled month of delivery of each affected Aircraft, Boeing will increase or decrease the Advance Payment Base Price of such Aircraft as required to reflect the effects of (i) any adjustments in the Aircraft Basic Price pursuant to this Agreement and (ii) the then-current forecasted escalation factors used by Boeing. Boeing will provide the adjusted Advance Payment Base Prices for each affected Aircraft to Buyer, and the advance payment schedule will be considered amended to substitute such adjusted Advance Payment Base Prices.

This letter agreement (Letter Agreement) amends and supplements the Purchase Agreement. All terms used but not defined in this Letter Agreement shall have the same meaning as in the Purchase Agreement.
Boeing and Buyer wish to enter into an agreement pursuant to which each party will contribute equally to promotional programs in support of the entry into service of the Aircraft as more specifically provided below.
1. Definitions.
1.1 Commitment Limit shall have the meaning set forth in Article 2, below.
1.2 Covered Aircraft shall mean those Aircraft identified on Table 4 to the Purchase Agreement as of the date of signing of this Letter Agreement.
1.3 Performance Period shall mean the period beginning one (1) year before and ending one (1) year after the scheduled delivery month of the first Covered Aircraft.
1.4 Promotional Support shall mean marketing and promotion programs that promote the entry into service of the Covered Aircraft such as marketing research, tourism development, corporate identity, direct marketing, videotape or still photography, planning, design and production of collateral materials, management of promotion programs, advertising campaigns or such other marketing and promotional activities as the parties may mutually agree.
1.5 Qualifying Third Party Fees shall mean fees paid by Buyer to third party providers for Promotional Support provided to Buyer during the Performance Period.

This Letter Agreement amends Purchase Agreement No. 1810 dated January 19, 1994 (the Agreement) between The Boeing Company (Boeing) and Southwest Airlines Co. (Buyer) relating to Model 737-7H4 aircraft (the Aircraft).
All terms used herein and in the Agreement, and not defined herein, will have the same meaning as in the Agreement.
1. Buyer understands that certain commercial and financial information contained in the documents listed below (Confidential Documents) is considered by Boeing as confidential.
2. Buyer agrees that it will treat the Confidential Documents and the information contained therein as confidential and will not, without the prior written consent of Boeing, disclose such Confidential Documents or any information contained therein to any other person or entity except as may be required by (i) applicable law or governmental regulations, or (ii) for financing the Aircraft in accordance with the provisions of Article 10 of the Agreement.
3. In connection with any such disclosure or filing of the Confidential Documents, or the information contained therein, pursuant to any such applicable law or governmental regulation, Buyer will request and use its best reasonable efforts to obtain confidential treatment of such Confidential Documents and the information contained therein. Boeing agrees to cooperate with Buyer in making and supporting its request for confidential treatment.

The Detail Specification is Boeing Detail Specification D019A001SWA37P-2 Rev NEW dated as of tbd. Such Detail Specification will be comprised of Boeing Configuration Specification D019A001, Rev N dated as of January, 2010 as amended to incorporate the Options listed on Exhibit A.2, including the effects on Manufacturer's Empty Weight (MEW) and Operating Empty Weight (OEW). As soon as practicable, Boeing will furnish to Buyer copies of the Detail Specification, which copies will reflect such Options. The Aircraft Basic Price reflects and includes all effects of such Options, except such Aircraft Basic Price does not include the price effects of any Buyer Furnished Equipment or Seller Purchased Equipment.

This Exhibit C.2 contains the Customer Support Variables applicable to the 737-8H4 Aircraft and incorporates all terms and conditions contained in the Customer Support Document as Exhibit C to the Purchase Agreement.
Buyer currently operates an aircraft of the same model as the 737-8H4 Aircraft. ***
The customized program will be based upon and equivalent to the entitlements summarized below.
1. | Maintenance Training. |
1.1 | Maintenance Training Minor Model Differences Course, if required, covering operational, structural or systems differences between Buyer's newly-purchased 737-8H4 Aircraft and an aircraft of the same model currently operated by Buyer; 1 class of 15 students; |
1.2 | Training materials, if applicable, will be provided to each student. In addition, one set of training materials as used in Boeing's training program, including visual aids, text and graphics will be provided for use in Buyer's own training program. |
2. | Flight Training. |
Boeing will provide, if required, one classroom course to acquaint up to 15 students with operational, systems and performance differences between Buyer's newly-purchased 737-8H4 Aircraft and an aircraft of the same model currently operated by Buyer.
Any training materials used in Flight Training, if required, will be provided for use in Buyer's own training program.
3. Planning Assistance.
3.1 | Maintenance Engineering. Notwithstanding anything in Exhibit C to the Purchase Agreement to the contrary, Boeing will provide the following Maintenance Engineering support: |

3.1.3 | GSE/Shops/Tooling Consulting. Upon request, Boeing will provide assistance to Buyer in identifying the impact to Buyer’s maintenance tools and ground support equipment resulting from the minor model differences between the 737-8H4 Aircraft and an aircraft of the same model currently operated by Buyer. |
3.2 | Spares. |
Boeing will revise, as applicable, the customized Recommended Spares Parts List (RSPL) and Illustrated Parts Catalog (IPC). |
4. | Technical Data and Documents. |
4.1 | Boeing will revise, as applicable, technical data and documents provided with previously delivered aircraft. |
4.2 | Boeing will provide the most current computer based training (CBT) courses available for the 737-7H4 and 737-8H4 as well as any enhancements to the basic 737 courses (e.g. 360 degree view of cockpit). |
4.3 | Boeing will provide the Flight Crew Operating Manual (FCOM) for the 737-8H4 in color and modified to the Southwest specific configuration. |
4.4 | In addition to the formats provided in Exhibit C, Part D, if requested by Buyer, Boeing will provide documents in xml, pdf and Framemaker formats. |

Additional Delivery Requirements - Import.
Customer will be the “importer of record” (as defined by the U.S. Customs and Border Protection) for all BFE imported into the United States, and as such, it has the responsibility to ensure all of Customer’s BFE shipments comply with U.S. Customs Service regulations. In the event Customer requests Boeing, in writing, to act as importer of record for Customer’s BFE, and Boeing agrees to such request, Customer is responsible for ensuring Boeing can comply with all U.S. Customs Import Regulations by making certain that, at the time of shipment, all BFE shipments comply with the requirements in the “International Shipment Routing Instructions”, including the Customs Trade Partnership Against Terrorism (C-TPAT), as set out on the Boeing website referenced below. Customer agrees to include the International Shipment Routing Instructions, including C-TPAT requirements, in each contract between Customer and BFE supplier.
