Item 8.01 Other Events.

In March 2005, non-exempt employees in the Central Arizona Division of Southwest Gas Corporation (the “Company”) voted to no longer be represented by any labor organization. On March 21, 2005, the Company received notification that the United States of America National Labor Relations Board had certified the voting results. As a result, none of the employees in the Company’s natural gas operations segment are now represented by a union.
