 2006 Annual Meeting Results.

The following are the results from it's annual meeting of shareholders held in Norcross, GA on May 25, 2006.

Approved:

1. To elect directors of SpectRx.

2. To ratify the appointment of Eisner LLP as SpectRx's independent registered public accounting firm for the 2006 fiscal year.

Not Approved.

1. To approve and adopt amendments to SpectRx's 1995 Stock Plan, as amended, increasing the number of shares available for grant by 599,000 and providing that no optionee shall be granted, in any fiscal year, options to purchase more than 600,000 shares.

No other business came before the meeting.
