Explanation of Responses:

1. One-fourth of the shares subject to the award vested on July 9, 2024; the remaining shares will vest monthly, starting on October 9, 2024, subject to the reporting person's continued service on each such date, until the award is fully vested on July 8, 2027.

2. On August 2, 2024, the Company issued a $25,000 note payable to Mr. James. In conjunction with the note, the Company also issued four-year warrants to purchase an aggregate of 25,000 shares of Common Stock at $0.25 per share.
