Explanation of Responses:

1. On December 18, 2024, the Company entered into a Securities Purchase Agreement with Mr. Imhoff pursuant to which, for an aggregate purchase price of $210,000, the Company issued 1,615,385 shares of its common stock and warrants to purchase an aggregate of 1,615,385 shares of common stock. The warrants were immediately exercisable upon issuance, expire four years following the issuance date and have an exercise price of $0.18 per share.
