Section 1 - Registrant’s Business and Operations
Item 1.01 - Entry into a Material Definitive Agreement
Effective January 4, 2006, Applied Digital Solutions, Inc.’s (“the Company’s”) subsidiary, VeriChip Corporation, entered into a distribution agreement with IR Security & Safety Americas, a unit of Ingersoll-Rand Company Limited (NYSE:IR). Under the terms of the agreement, IR Security & Safety has the non-exclusive right to promote, sell, install and maintain certain of VeriChip Corporation’s infant protection, wander prevention and asset location and identification products, as well as the related Auto-ID platform and application development interface for such products. The distribution agreement applies to healthcare, commercial and industrial markets in North and South America, including the Caribbean and Hawaii.
The distribution agreement is included herein as an exhibit.
