State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Smith-Midland Corporation (the “Company”) has determined that it is unable to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2024, within the prescribed time period, without unreasonable effort or expense. The Company requires additional time to complete its financial reporting close process as a result of delays in filing the Company’s Annual Report on Form 10-K for the year ended December 31, 2023. The delay in filing the Form 10-K is related to additional time needed to complete its financial reporting close process as referenced in Form 12b-25 as filed on April 1, 2024. The Company anticipates to file its Annual Report on the Form 10-K in the near future, and the Form 10-Q shortly thereafter.
