PRIVATE PLACEMENT
For Immediate Release: July 31, 2008, Vancouver, B.C. – Reg Technologies Inc. (TSX Venture Exchange: RRE, OTC BB: REGRF) is pleased to announce that it has received regulatory approval and closed a non-brokered private placement of 1,315,168 common share units (the “Units”) as described in its June 2, 2008 news release. Units were priced at $0.40 per Unit, for gross proceeds to the Company of $526,067. Each Unit is comprised of one common share in the capital of the Company and one non-transferable share purchase warrant of the Company exercisable in the first year at $0.50 per share or in the second year at $0.60 per share.
In connection with the non-brokered private placement, Reg has paid finders’ fees of $23,070 in cash.
All securities to be issued will be subject to a hold period expiring on December 2, 2008 in accordance with the rules and policies of the TSX Venture Exchange and applicable Canadian securities laws. Other further restrictions may apply under foreign securities laws.
Net proceeds of approximately $502,997 from this private placement will be used for development and evaluation of the RadMax®, accounts payable and working capital.
