Item 8.01. Other Events.
On December 13, 2021, Omnicell, Inc. (the “Company”) provided a written notice to the trustee and the noteholders of its 0.25% convertible senior notes due 2025 (the “Notes”) that it has irrevocably elected to fix its settlement method to a combination of cash and shares of the Company’s common stock with the specified cash amount per $1,000 principal amount of Notes of at least $1,000 (the “Combination Settlement”). As a result, for Notes converted on or after December 13, 2021, a converting noteholder will receive (i) up to $1,000 in cash per $1,000 principal amount of Notes and (ii) cash and/or shares of the Company’s common stock, at the Company’s option for any conversion consideration in excess of $1,000. In addition, the Company continues to have the ability to set the specified cash amount per $1,000 principal amount of Notes above $1,000.
The Company has delivered the aforementioned notice in connection with the anticipated adoption of Accounting Standards Update 2020-06, Debt-Debt with Conversion and Other Options (Subtopic 470-20) and Derivatives and Hedging-Contracts in Entity’s Own Equity (Subtopic 815-40) (“ASU 2020-06”) on January 1, 2022. Under ASU 2020-06, the accounting for convertible debt instruments such as the Notes is simplified by allowing for such convertible debt instruments to be accounted for as a single liability instrument measured at its amortized cost. In addition, under ASU 2020-06, the Company will no longer be allowed to use the treasury stock method for convertible instruments and instead will be required to apply the “if-converted” method for purposes of calculating diluted earnings per share. However, by irrevocably electing to fix its settlement method to the Combination Settlement as described above, only the shares issuable in respect of any conversion consideration in excess of the principal amount would be considered outstanding for purposes of the diluted earnings per share calculations under ASU 2020-06.
