We refer to the Registration Statement on Form S-3 (the “Registration Statement”) being filed by Aspira Women’s Health Inc., a Delaware corporation (the “Company”), with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Securities Act”). The Registration Statement relates to the registration under the Securities Act of 3,150,000 shares (the “Shares”) of the Company’s common stock, par value $0.001 per share. The Shares may be offered and sold by the selling stockholders referenced in the prospectus, as amended or supplemented from time to time, which forms a part of the Registration Statement.
This opinion letter is being delivered in accordance with the requirements of Item 601(b)(5) of Regulation S-K under the Securities Act.
We have examined the Registration Statement, the Fourth Amended and Restated Certificate of Incorporation, as amended, of the Company as in effect on the date hereof, filed with the Secretary of State of the State of Delaware, the Sixth Amended and Restated Bylaws of the Company as in effect on the date hereof, the Securities Purchase Agreement, dated as of July 1, 2020, by and among the Company and the investors listed on Schedule I thereto and the resolutions adopted by the board of directors of the Company relating to the Registration Statement and the issuance by the Company of the Shares. We have also examined originals, or copies of originals certified to our satisfaction, of such agreements, documents, certificates and statements of the Company and other corporate documents and instruments, and have examined such questions of law, as we have considered relevant and necessary as a basis for this opinion letter.
