This report on Form 6-K relates to the following events:

Rinker Materials Corporation provides an update on, and announces completion of, its tender offer and consent solicitation for its 6.875% Guaranteed Notes due 2004.

CSR Finance Limited and CSR Limited announce completion of the consent solicitation with respect to CSR Finance Limited's 7.70% Guaranteed Notes due 2025 in connection with the exchange offer by Rinker Materials Corporation, whereby Rinker Materials Corporation offered to exchange its new 7.70% Guaranteed Notes due 2025 for CSR Finance Limited's 7.70% Guaranteed Notes due 2025.

The supplemental indentures attached hereto as Exhibits 99.2, 99.3, 99.4 and 99.5 are effective as of March 28, 2003, the date on which the demerger, or spin-off, of Rinker Group Limited from CSR Limited was effective.
