Item 2.02 - Results of Operations and Financial Condition.
On July 31, 2007, AVP, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2007. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference.

Item 7.01 - Regulation of FD Disclosure.
On July 31, 2007, as part of the Company’s press release announcing its financial results for the fiscal quarter ended June 30, 2007, the Company forecasted revenues for the full year 2007 to be in the range of $24.7 million and $26.6 million, and a net loss for 2007 in the range of $2.1 million and $4.0 million.
