Wilmington, DE – April 20, 2004 – GrafTech International Ltd. (NYSE:GTI) today announced that it has filed a registration statement on Form S-3 with the Securities and Exchange Commission to register the resale by certain security holders of up to $225 million aggregate principal amount of its 1.625% convertible senior debentures and shares of common stock issuable upon conversion thereof. The convertible debentures were originally issued in January 2004 in a private offering. GTI will not receive any proceeds from any resale by the selling security holders of the debentures or the shares of common stock issued upon conversion thereof.
The debentures and the shares of common stock issuable upon conversion thereof have not been and may not be offered or sold in the United States absent registration under the Securities Act of 1933 or an applicable exemption from the registration requirements of the Securities Act of 1933.
