GrafTech Announces Effectiveness of Debenture Resale Registration Statement
Wilmington, DE – May 7, 2004 – GrafTech International Ltd. (NYSE:GTI) today announced that the Securities and Exchange Commission declared effective as of 4:00 p.m. (EST) today its registration statement on Form S-3 covering resales by certain security holders of up to $225 million aggregate principal amount of its 1.625% convertible senior debentures and shares of common stock issuable upon conversion thereof. As previously announced, the debentures were originally issued in January 2004 in a private offering. GTI will not receive any proceeds from any resale by the selling security holders of the debentures or the shares of common stock issued upon conversion thereof.
The debentures are convertible into GrafTech common stock at an initial conversion rate of 60.3136 shares per $1,000 principal amount (equal to an initial conversion price of approximately $16.58 per share) if the price of GrafTech’s common stock exceeds 125% of the conversion price (or approximately $20.73 per share) for specified periods or the debentures are called for redemption by GrafTech and upon other customary events.
The debentures and the shares of common stock issuable upon conversion thereof have not been and may not be offered or sold in the United States absent registration under the Securities Act of 1933 or an applicable exemption from the registration requirements of the Securities Act of 1933.
