Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 1, 2011, Dean Foods Company (the “Company”) announced that Joseph E. Scalzo would no longer serve as the Company’s President and Chief Operating Officer, effective February 25, 2011. In connection with the termination of his employment, Mr. Scalzo will receive severance benefits pursuant to the Company’s Amended and Restated Executive Severance Pay Plan, which is set forth on Exhibit 10.1 to our Current Report on Form 8-K filed with the Securities and Exchange Commission on November 19, 2010.
