Explanation of Responses:

1. Restricted common stock is granted pursuant to Mr. Sahag's Employment Agreement. The stock will vest pursuant to the Company's stock price achieving certain 30 trading day volume weighted average prices, as follows: 20% will vest @ $0.30 per share, 30% will vest at $0.40 per share, 30% will vest at $0.50 per share, and 20% will vest at $0.60 per share.
