Item 1.01. Entry into a Material Definitive Agreement

On May 16, 2014, Stillwater Mining Company issued a press release announcing that it has agreed to a five-year platinum group metal refining and sales agreement with Johnson Matthey. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
