ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
On January 27, 2009, the Company filed an Amended Certificate of Determination (the “Amended Certificate”) with the Secretary of State of California increasing the number of authorized shares of the Company’s Series A Preferred Stock from 300,000 to 5,000,000 and approving the issuance of such shares. All authorized shares of Series A Preferred Stock have the relative rights, preferences, powers, privileges and restrictions as set forth in the Amended Certificate. The text of the Amended Certificate is filed herewith as Exhibit 3.1 and is incorporated by reference herein.
