Item 1.01 Entry into a Material Definitive Agreement.
On December 29, 2005, Orange 21 Inc. (the “Company”) and Comerica Bank (“Comerica”) agreed to extend the maturity date for the Company’s existing $8 million line of credit with Comerica from January 5, 2006 to April 5, 2006. No amounts are currently outstanding under the line of credit.
