Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Effective September 30, 2006, Mr. Howard B. Stoeckel was elected to the Board of Directors of AmeriGas Propane, Inc., the general partner ("General Partner") of AmeriGas Partners, L.P. Mr. Stoeckel replaced Roger B. Vincent on the General Partner's Board of Directors. Mr. Vincent resigned from the Board of Directors of the General Partner effective September 30, 2006. As previously reported, Mr. Vincent was elected to the Board of Directors of UGI Corporation, the parent company of the General Partner, effective February 22, 2006. Mr. Stoeckel also replaced Mr. Vincent as a member of the Audit Committee of the General Partner's Board of Directors.
Mr. Stoeckel is President and Chief Executive Officer of Wawa, Inc. and also serves as Vice Chairman of the Board of Directors of Wawa, Inc. Wawa, Inc. is a multi-state retailer of food products and gasoline. He joined Wawa, Inc. in 1987 as Vice President - Human Resources and was promoted to various positions, including Chief Operating Officer, Execut ive Vice President, Chief Retail Officer, and Vice President - Marketing.
