EXPLANATORY NOTE
On July 22, 2008, the Registrant filed with the Securities and Exchange Commission a Current Report on Form 8-K dated July 22, 2008 (the “Form 8-K”) to report its results of operations and financial condition for the three and six months ended June 30, 2008 and the issuance and sale of $25.0 million of Subordinated Capital Notes by its wholly owned subsidiary, IBERIABANK.
This Amendment No. 1 to the Form 8-K is being filed solely to correct the following for a clerical error:

The change set forth above is the only portion of the Form 8-K being amended herein. This Amendment No. 1 does not change any other information set forth in the Form 8-K.
