| ITEM 1.01 | ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT |
On February 14, 2007, Baldor Electric Company (the “Company”) entered into an amendment to its new senior secured credit facility with a syndicate of financial institutions, including BNP Paribas as Administrative Agent.
The First Omnibus Amendment amends the current Credit Agreement and the Security Agreement, each dated January 31, 2007, to include the Company’s obligations to SunTrust Bank with respect to existing cash management agreements and letters of credit within the framework of the new senior secured credit facility.
