Item 7.01 | Regulation FD Disclosure |
One of the proposals in Baldor Electric Company’s 2009 Proxy Statement is to consider and act upon a plan to create the Baldor Electric Company Plan for Tax Deductible Executive Incentive Compensation.
To clarify the plan administration, the committee administering the Plan will be comprised of Jean A. Mauldin, Robert J. Messey, Robert L. Proost, and Barry K. Rogstad. All of these directors are outside directors within the meaning of Section 162(m) and independent outsiders within RiskMetrics Group’ definition of independent.
