ITEM 7.01 REGULATION FD DISCLOSURE.
On July 1, 2011, The Bank of Kentucky Financial Corporation issued a press release announcing that its wholly-owned bank subsidiary, The Bank of Kentucky, Inc., executed a purchase and assumption agreement with the United Kentucky Bank of Pendleton County, Inc. on June 30, 2011. A copy of the Press Release is being furnished as Exhibit 99.1 to this Report and is incorporated into this Report by reference.
