Item 8.01. Other Events.
On October 29, 2021, Acacia Research Corporation (“Acacia” or the “Company”) submitted a private proposal to Comtech Telecommunications Corp. (“Comtech”) to acquire 100% of the outstanding shares of Comtech for $30 per share in cash. In a subsequent conversation, Acacia and Comtech discussed Acacia’s business strategy and prospective plans with respect to Comtech. Acacia’s Chief Executive Officer, Clifford Press, stated that Comtech is an attractive company and expressed interest in continuing a productive, private dialogue regarding a transaction.
