ACI Worldwide, Inc. Announces Private Offering of Senior Notes
NAPLES, FLA—August 6, 2018—ACI Worldwide (Nasdaq: ACIW) today announced that it has commenced a private offering, subject to market and other conditions, of $300 million of Senior Notes due 2026 (the “notes”). The offering will be made to “qualified institutional buyers” as defined in Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and in offshore transactions to certainnon-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. ACI intends to use the net proceeds of the offering, together with cash from its balance sheet, to redeem in full its outstanding 6.375% Senior Notes due 2020 (the “2020 notes”) and to pay accrued and unpaid interest on the 2020 notes.
The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and other applicable securities laws.
