Explanation of Responses:

1. Each share of phantom stock is issued under the issuer's deferred compensation plan and is the economic equivalent of one share of common stock. The shares of phantom stock become payable, in cash or common stock, at the election of the reporting person, upon the reporting person's termination of service as a director or, if earlier, December 15, 2018.

2. This amendment is being filed solely to correct a clerical error in the number of derivative securities beneficially owned following the reported transaction to reflect a 10:1 reverse stock split of the issuer's common stock, which became effective on January 2, 2015.
