| ITEM 5.02 | COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS |
On August 24, 2007, the Compensation Committee of the Board of Directors granted Phillip Marshall, the Company's Chief Financial Officer, 20,000 five-year stock options to purchase shares of the Company’s common stock with an exercise price of $9.40 per share. The stock options, which expire on August 24, 2012, vest over the next two years with 10,000 stock options becoming exercisable on August 24, 2008 and 10,000 stock options becoming exercisable on August 24, 2009.
