ITEM 5.02COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On May 8, 2008, we completed the preparation and execution of a two-year Employment Agreement (the “Agreement”) with our President and Chief Executive Officer, Eric Langan.  The Agreement provides for Mr. Langan’s continued service as President and Chief Executive Officer through April 1, 2010, with for an annual base salary of $600,000. The Agreement also provides for participation in all benefit plans maintained by us for salaried employees. Under the terms of the Agreement, Mr. Langan is bound to a confidentiality provision and cannot compete with us upon the expiration of the Agreement.
