Item 1.01 Entry into a Material Definitive Agreement.
On January 16, 2006, Enesco Group, Inc. and Cynthia Passmore amended the employment agreement between the Company and Ms. Passmore, effective January 1, 2006. Under the amended agreement, Ms. Passmore will be eligible to receive an annual cash bonus for the achievement of performance goals previously approved by the Board of Directors. The target bonus shall be the greater of 60% of her annual base salary or the percentage amount of her base annual salary established each year under the Company’s Management Incentive Plan. The amended agreement provides for five weeks of vacation.
The amended employment agreement between Enesco and Ms. Passmore is attached as Exhibit 99.1.
