(1) | Pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover any additional shares of Common Stock, $0.01 par value per share (“Shares”) of National Instruments Corporation (the “Company”) that become issuable under the Company’s 2022 Equity Incentive Plan (the “2022 Equity Incentive Plan”) and the Company’s 1994 Employee Stock Purchase Plan (the “ESPP”) by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without the receipt of consideration that results in an increase in the number of the outstanding shares of common stock. |
