I am the Senior Vice President, General Counsel and Secretary of Stanley Black & Decker, Inc., a Connecticut corporation (the “Corporation”), and have assisted the Corporation in connection with the filing by the Corporation of a Registration Statement onForm S-8 (the “Registration Statement”) relating to the registration of 1,600,000 shares of the Corporation’s Common Stock, par value $2.50 per share (the “Shares”), relating to the Corporation’s Global Omnibus Employee Stock Purchase Plan (the “Plan”).

The foregoing opinion is limited to matters involving the federal laws of the United States of America and the Connecticut Business Corporations Act and I do not express any opinion as to the laws of any other jurisdiction.
