Item 8.01 Other Events.
On December 22, 2009, in connection with the restructuring of certain modified pool policies completed in December 2009, PMI Mortgage Insurance Co. ("PMI") paid a counterparty aggregate accelerated discounted claim payments of approximately $264 million (subject to certain adjustments). The positive impact that the restructurings had on PMI's loss reserves for the fourth quarter of 2009 resulted in an estimated aggregate statutory capital benefit to PMI of approximately $51 million.
