Explanatory Note
DTE Energy Company is filing this Current Report on Form 8-K/A as Amendment No. 1 to its Current Report on Form 8-K dated June 22, 2023 and filed with the Securities and Exchange Commission on June 28, 2023 (the "Prior 8-K"), to report the compensation arrangements with respect to an executive officer of the company subject to management changes announced in the Prior 8-K.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Appointment of President and Chief Operating Officer
On June 22, 2023, the Board of Directors of DTE Energy Company (the “Company” or “DTE Energy”) appointed Joi M. Harris as President and Chief Operating Officer of the Company, effective July 3, 2023. On January 31, 2024, the Organization and Compensation Committee of the Company's Board of Directors approved a $200,000 increase in Ms. Harris’s base salary effective March 25, 2024. In addition, her Annual Incentive Plan target percentage will increase from 75% to 85% and her Long-Term Incentive Plan target percentage will increase from 165% to 215%. More information about the Annual Incentive and Long-Term Incentive Plans may be found in the Company’s 2023 Proxy Statement.
