TABLE OF CONTENTS
On May 17, 2006, The Detroit Edison Company (“Detroit Edison”) entered into an Underwriting Agreement, dated as of May 17, 2006 (the “Underwriting Agreement”) with Barclays Capital Inc., Citigroup Global Markets Inc. and J.P. Morgan Securities Inc., as representatives of several other underwriters named therein (collectively, the “Underwriters”), with respect to the offer and sale by Detroit Edison and the purchase by the Underwriters, of $250,000,000 aggregate principal amount of Detroit Edison’s 2006 Series A 6.625% Senior Notes due 2036. The Underwriting Agreement is attached as Exhibit 1.1, hereto.
Detroit Edison intends to use the proceeds from this offering for the repayment of short-term borrowings and for general corporate purposes.
