| 1. Represents shares of common stock, par value $0.005 per share, of the Issuer issued and sold to 3K Limited Partnership ("3K Limited"), of which the reporting person is the general partner (the "Reporting Person"), pursuant to a stock purchase agreement, dated as of August 12, 2024, by and among the Issuer, 3K Limited, the Reporting person, in his individual capacity, the Peter H. Kamin Revocable Trust dated February 2003 (the "Kamin Trust"), the Peter H. Kamin Childrens Trust dated March 1997 (the "Kamin Childrens Trust"), the Peter H. Kamin GST Trust and the Peter H. Kamin Family Foundation, of which the Reporting Person is sole trustee. |
| 2. The Reporting Person holds 218,728 shares indirectly by the Kamin Trust, 146,998 shares indirectly by the Kamin Childrens Trust and 1,454,692 shares indirectly by 3K Limited Partnership. The Reporting Person disclaims beneficial ownership of these Securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of such securities for Section 16 or any other purposes. |
